MENTORION LLC (hereinafter referred to as “MENTORION”), a single-member limited liability company with a share capital of $9,000, registered with the Brickell, Miami Companies Register under number L2308765432, located at 1200 Brickell Avenue, Suite 800, Miami, FL 33131, provides online coaching services to individuals.
Article 1 – Scope of Application – These General Terms and Conditions of Sale (hereinafter “GTC”) govern all sales of services (hereinafter referred to as the “Service(s)”) provided by MENTORION to any individual or legal entity (hereinafter referred to as the “Client”) who places an order on the website www.frenchtrader.net
(hereinafter referred to as the “Website”). The Client’s validation of the order constitutes unconditional acceptance of these GTC, which the Client acknowledges having read beforehand. These GTC constitute the sole agreement between the Parties and exclude any other document, except for specific conditions that may be agreed upon between the Parties. MENTORION reserves the right to modify these GTC. Such modifications become enforceable upon being posted online and cannot apply to Services already agreed upon.
Article 2 – Services – MENTORION uses all reasonable means available to deliver the Services. These Services aim to help Clients progress personally in the field of financial analysis. They are described in French on the website www.frenchtrader.net
, specifying their duration, essential characteristics, and price. MENTORION is free to use any educational methods and tools it deems appropriate, which the Client accepts. The Client is informed that they may need to create a Client account with a third-party provider and/or download applications to access the Service, such as a videoconferencing or file-sharing app.
Any Service subscribed to as a monthly subscription is concluded for a period of one (1) month and is not automatically renewable. It should be noted that MENTORION does not provide personalized or non-personalized investment advice regarding financial decisions at any given time. Consequently, the Client cannot expect investment advice from the Services, and MENTORION shall not be held liable in any way for such matters. The Client remains solely responsible for any investments they choose to make or not make, and MENTORION shall not be held liable for any financial outcomes resulting from the Client’s investment decisions. MENTORION does not issue diplomas or certificates and does not guarantee any specific level of training or results following the completion of the Service.
Article 3 – Requirements – To access the Services, the Client must have a computer, tablet, or smartphone with an Internet connection capable of receiving and viewing multimedia files. All Internet access equipment and connection fees are the sole responsibility of the Client. The Client must ensure that their technical environment remains compatible with the tools used by MENTORION during the entire duration of the Service. MENTORION specifies on its Website whether a Service requires specific transfer tools or software, as well as the access methods (download, streaming, access code) and any special prerequisites necessary for viewing the content. Therefore, the Client cannot claim incompatibility or access failure as grounds for complaint.
Technical prerequisites for all Services are as follows:
Operating system: Windows, Mac, or Linux – Browser: Chrome, Internet Explorer, or Firefox.
The Client must take all necessary measures to protect their computer system, data, and software from viruses, cyberattacks, and hacking, and perform regular data backups.
The Website also specifies any required level of understanding, skills, or knowledge necessary for the Client to fully benefit from the Service. The Client remains solely responsible for choosing the appropriate Service.
Article 4 – Orders – To purchase Services from MENTORION, the Client visits the website www.frenchtrader.net
, fills out a form with their identity, email address, and other required information, and selects the desired Service. Before confirming, the Client can review the order details. By confirming, the Client accepts the Service and agrees to pay MENTORION. The Client then receives an email confirming the order details. The Service will only be delivered once MENTORION has received full payment. Once the order is placed, it is final and cannot be canceled, refunded, or withdrawn as per Article 7 of these GTC. MENTORION may refuse any order, particularly if a group coaching program is full or if human, material, or technical conditions do not allow the provision of the Service.
Article 5 – Prices – Service prices are listed in euros, both excluding and including tax (HT/TTC), on the Website. Prices may be changed at any time without prior notice by MENTORION. Services are provided at the rate in effect at the time the order is recorded by MENTORION. Prices are firm and non-revisable. The invoice is sent to the Client’s email address after order confirmation.
Article 6 – Payment Terms – Payment is due in full online at the time of order placement, via a secure payment gateway. Payments are processed through PayPal or Stripe. MENTORION does not store Clients’ banking information. For more details, refer to MENTORION’s Privacy Policy. The Client declares that they are authorized to use the selected payment method and that sufficient funds are available.
MENTORION reserves the right to suspend or cancel any order execution in case of non-payment, partial payment, payment incident, fraud, or attempted fraud related to the Website or the order payment.
Article 7 – Waiver of the Right of Withdrawal – Under normal circumstances, online service purchases entitle Clients to a 14-day withdrawal period starting from the order confirmation. However, in accordance with Article L.221-28 §§ 1° and 13° of the French Consumer Code, and given the nature of the Services provided by MENTORION, which include digital content accessible immediately, the Client acknowledges that once digital access has been provided, no refund will be granted. Service execution begins before the 14-day withdrawal period ends, with the Client’s explicit consent and express waiver of this right. Therefore, the order is final and non-refundable.
Article 8 – Warranties – MENTORION strives to provide the Service as described in the Client’s order and complies with legal warranty obligations regarding conformity (Articles L.217-4 to L.217-13 of the French Consumer Code) and hidden defects (Articles 1641 to 1648 of the French Civil Code). In the event of a refund, it will be made by crediting the Client’s bank account.
MENTORION does not guarantee uninterrupted or error-free access to the Website and provides the Service “as available.” When the Service includes digital content, MENTORION guarantees it is functional and viewable according to the stated technical requirements. No refunds will be made due to technical issues related to the Client’s configuration, accidental file deletion, or refusal to use recommended software.
Article 9 – Liability – MENTORION is bound by an obligation of means. Under no circumstances shall MENTORION be held liable for any damages suffered by the Client or third parties resulting from:
Website unavailability or technical failure;
Client’s fault, negligence, or misuse of the information or materials provided;
Force majeure or events beyond MENTORION’s control;
Third-party negligence;
Indirect or consequential damages, such as loss of profit, business interruption, or economic loss.
In any case, MENTORION’s liability is limited to the total amount actually paid by the Client for the Services. For subscriptions, compensation cannot exceed the amount paid over the last six (6) months.
MENTORION holds professional liability insurance covering its obligations under these GTC.
Article 10 – Personal Data – Within this contract, MENTORION processes Clients’ personal data as the data controller in order to provide the Services. Full details regarding data processing purposes, collected data, recipients, potential international transfers, and retention periods are outlined in MENTORION’s Privacy Policy, available before any order confirmation and on the Website. Clients have the right to access, rectify, erase (“right to be forgotten”), and port their personal data. They may also object to or restrict processing under certain conditions. Clients may file a complaint with the CNIL after contacting MENTORION.
During the Service, Clients are free to participate in discussion groups but remain solely responsible for any personal information they share. Clients must also protect other Clients’ personal data to which they may have access and are strictly prohibited from sharing, disclosing, or reusing such data without consent. MENTORION shall not be held liable for the disclosure of a Client’s data by another Client.
Article 11 – Intellectual Property – MENTORION holds all intellectual property rights related to its Website. Any materials provided by MENTORION during the Service, including trademarks, logos, texts, illustrations, images, exercises, or multimedia content, are protected by intellectual property laws. Any total or partial reproduction or representation of the Website or its contents is strictly prohibited and may result in legal action. These materials are the result of MENTORION’s expertise and intellectual efforts and may not be resold, shared, transferred, or disclosed to third parties.
Article 12 – Waiver – Validity – The failure of MENTORION to enforce any provision of these GTC at any time shall not be construed as a waiver of its right to do so later. If any provision is deemed invalid by a competent authority, the remaining provisions shall remain valid and enforceable.
Article 13 – Disputes – In case of dispute, the Client must first contact MENTORION to seek an amicable solution. If difficulties persist, the consumer Client may refer the matter to a consumer mediator before initiating any legal proceedings.
